Master Subscription Terms

Terms of Service & SLA

Effective Date: September 10, 2026 • Version 4.1

These Master Subscription Terms of Service ("Terms") constitute a legally binding agreement between Signalis Systems Inc. ("Signalis," "Company," "we," or "our") and the enterprise entity or subscriber ("Customer," "you," or "your") accessing our early renewal-risk signal detection platform.

Section 1: 100% Customer Output & Data Ownership

You retain unencumbered 100% ownership of all customer data and generated output. Customer owns all rights, title, and interest in and to: (a) all raw conversational, email, support, and calendar telemetry submitted to Signalis; (b) all calculated risk scores, upstream detection indexes, and quorum decay measurements; and (c) all executive briefings, remediation summaries, and exportable data files generated by the platform. Signalis claims zero intellectual property rights over any analytical output derived from your proprietary business accounts.

2. Permitted Subscription Use & Tier Thresholds

Subject to these Terms and active subscription fees, Signalis grants Customer a non-exclusive, non-transferable enterprise license to access the platform within the parameters specified in the applicable Order Form:

  • Growth Tier: Authorizes continuous monitoring of up to 250 unique enterprise accounts and a maximum of $15,000,000 in monitored Annual Recurring Revenue (ARR).
  • Scale Tier: Authorizes continuous monitoring of up to 1,000 unique enterprise accounts and a maximum of $50,000,000 in monitored ARR, including real-time webhook ingestion.
  • Enterprise Tier: Authorizes unlimited account monitoring and multi-instance CRM synchronization with dedicated tenant isolation.

If Customer's monitored account volume exceeds the contracted threshold by more than ten percent (10%) over two consecutive billing cycles, Signalis will automatically prorate the account to the appropriate tier or capacity band.

3. Service Level Agreement (SLA) & Financial Credits

For customers enrolled in the Scale or Enterprise tiers, Signalis commits to an operational platform availability uptime of 99.9% ("Target Uptime") per calendar month, excluding scheduled maintenance windows announced at least 72 hours in advance.

Less than 95.0% 50% of monthly fee

To claim a service credit, Customer must notify Signalis support within thirty (30) calendar days of the qualifying outage event. Service credits represent Customer's sole and exclusive financial remedy for unscheduled downtime.

4. Restrictions and Security Obligations

Customer agrees that it shall not, directly or indirectly:

  • Decompile, disassemble, reverse engineer, or attempt to derive the underlying source code or proprietary acoustic algorithms of Signalis;
  • Circumvent or attempt to defeat any cryptographic key management systems or tenant isolation boundaries;
  • Provide access credentials to third-party consultants or competitors without prior written authorization from Signalis;
  • Use the service to ingest unlawful, defamatory, or non-corporate personal communications outside the scope of authorized B2B commercial interactions.

5. Term, Cancellation & Data Portability

Annual subscriptions renew automatically for successive 12-month periods unless either party delivers written notice of non-renewal at least thirty (30) calendar days prior to the expiration of the active term.

Upon termination or cancellation of service:

  • Customer may request a full, structured export of all historical early-warning scores, incident timelines, and executive briefings in standard JSON format within thirty (30) days.
  • Upon the conclusion of the 30-day export window, Signalis permanently purges all tenant database records and destroys associated encryption keys in accordance with NIST 800-88 standards.

6. Limitation of Liability

Signalis is an analytics and decision intelligence tool designed to surface qualitative risk signals for human evaluation. Signalis does not guarantee that every account exhibiting risk will churn, nor that every churning account will be preemptively identified. In no event shall either party's aggregate liability arising out of or related to this Agreement exceed the total fees paid by Customer in the twelve (12) months preceding the incident giving rise to liability.
